Terms of Service

1. Acceptance of Terms

These Master Terms of Service (“Terms”) constitute a legally binding agreement entered into between Nexora Technologies (“HostixOS”, “we”, “our”) and the organization, business entity, institution, or individual subscribing to our platform (“Customer”, “Operator”, “you”).

By signing a commercial order form, creating an administrative account, or accessing the HostixOS software, native mobile apps, and developer APIs (collectively, the “Service”), you confirm that you have read, understood, and agreed to be bound by these Terms.

2. Subscription Tiers & License Grant

HostixOS grants you a non-exclusive, non-transferable, worldwide cloud software license to access and utilize the platform during your active subscription period:

• Authorized Roles: You may provision logins for your designated property managers, wardens, front desk staff, cafeteria operators, and registered residents subject to your subscribed bed/room capacity tier.
• Multi-Tenancy Isolation: Each customer is deployed within logically isolated cloud database schema with strict role-based access control (RBAC).
• License Restrictions: You shall not sub-license, white-label, reverse-engineer, decompile, or create derivative works from the HostixOS core codebase or algorithms.

3. Service Level Agreement (SLA) & Availability

Scheduled maintenance windows are executed during off-peak hours (typically 02:00 AM – 04:00 AM IST) with prior electronic notification to designated property administrators.

4. Customer Data Ownership & Intellectual Property

You retain 100% unconditional ownership of all Customer Data. All resident records, tenant KYC documents, financial ledgers, rent transaction histories, and room inventories uploaded to or generated by HostixOS remain your exclusive intellectual and proprietary property.

HostixOS retains all right, title, and interest in and to the platform architecture, user interfaces, documentation, APIs, algorithms, and proprietary machine-learning models powering automated mess headcount and occupancy forecasting.

5. Acceptable Use Policy

Customer agrees to utilize the Service in compliance with all applicable Indian and international hospitality, housing, and telecommunication laws:

• Consent for Notifications: Operators must have lawful basis or resident/parent consent before sending automated WhatsApp payment receipts and SMS curfew alerts.
• Prohibited Content: You shall not transmit malicious code, fraudulent banking instruments, or illegal materials through the platform.
• Security Probing: Unauthorized vulnerability testing, denial-of-service simulation, or penetration attacks on production endpoints are strictly prohibited without written consent from our security team.

6. Billing, Fees & Payment Gateway Routing

Subscription fees are billed on a monthly, quarterly, or annual recurring schedule as specified in your agreement:

• Invoicing & Taxes: All stated prices are exclusive of statutory Goods and Services Tax (GST @ 18%), which will be charged on official tax invoices.
• Payment Gateway Aggregators: Resident rent transactions processed via integrated payment aggregators (Razorpay, UPI) are subject to payment gateway transaction MDR fees charged directly by the aggregator. HostixOS is not a bank or non-banking financial company (NBFC).

7. Hardware & Biometric Turnstile Integrations

HostixOS provides edge integration firmware and cloud drivers for third-party turnstile hardware, RFID readers, and AC sub-meters. While our local edge failover service ensures offline operation during broadband interruptions, physical hardware warranty and onsite electrical maintenance remain the responsibility of the respective hardware manufacturer.

8. Termination & 30-Day Data Export Guarantee

Either party may terminate the subscription agreement in accordance with the notice provisions of their commercial order form. Upon termination:

• You will retain access for 30 calendar days to download complete ledger backups, resident directories, and payment receipts in standard CSV and JSON format.
• Following 30 days, your instance and associated cloud database schemas will be safely decommissioned and purged from our production clusters.
